What does your engagement process look like?

A 30-minute scoping call to map the matter, followed by a written engagement letter with scope, deliverables, timeline and fixed fee. Once accepted, we open a matter file, request the document list, and start work with a single point of contact — the founder.

How long does a typical matter take?

Advisory notes and clause reviews are usually turned around in 3–5 working days. Filings and secretarial matters follow the statutory calendar. Tribunal and transactional matters run on their own procedural timelines, which we confirm at engagement and update as milestones move.

What documents will you need from us?

At a minimum: the company's certificate of incorporation, MoA and AoA, latest financials, list of directors and shareholders, and any contracts or notices relevant to the matter. A detailed document checklist is shared with the engagement letter so nothing is asked for twice.

My company has been struck off the register of companies — what are my options?

A company struck off under Section 248 can be restored by filing a petition under Section 252 before the NCLT within three years of the date of the order. The petition needs to establish that the company was carrying on business or in operation.

Can a Company Secretary appear before the NCLT?

Yes. Under Section 432 of the Companies Act, 2013 read with Rule 45 of the NCLT Rules, 2016, a Practising Company Secretary is entitled to appear as an authorised representative before the NCLT and NCLAT.

What is compounding of an offence under the Companies Act?

Compounding under Section 441 is a mechanism to settle certain non-serious offences by paying a compounding fee, without going through prosecution. Applications are made to the Regional Director or the NCLT depending on the fee involved.

What is an oppression and mismanagement petition?

A minority shareholder holding the prescribed threshold can file a petition under Sections 241 and 242 before the NCLT alleging that the affairs of the company are being conducted in a manner oppressive to any member or prejudicial to the interests of the company.

What is CG-1 used for?

Form CG-1 is used to apply to the Central Government (through the Regional Director) for condonation of delay, compounding of certain offences, and other approvals that fall within the Central Government's powers under the Companies Act, 2013.

Do I need a separate advocate for NCLT matters, or can Salins & Co. handle it end to end?
